1. Introduction
These Legal Disclosures ("Disclosures") apply to all services provided by Lexx Software Co. Ltd. ("LEXX", "we", "us", "our"), a company registered in Malta under registration number C 100540, with its registered office at Office 2, Room 2, Blue Angel, Triq Belvedere, Gzira, GZR 1112, Malta.
By accessing or using the LEXX platform and related services (the "Service"), you acknowledge that you have read, understood, and agree to these Disclosures. These Disclosures supplement and should be read together with our Terms of Use, Privacy Policy, and Refund & Cancellation Policy.
2. SaaS Nature Disclosure
2.1 What LEXX Is
LEXX is a Software-as-a-Service (SaaS) platform that provides:
- A professional trading interface for cryptocurrency markets
- Analytical tools, charting, and strategy configuration features
- Squeeze Hunter — a free, standalone backtesting and strategy parameter selection tool (see Section 6)
- MS Navigator — a free, standalone automated SMC analysis service delivered via Telegram (see Section 7)
- The RADAR AI-powered market intelligence system (see Section 5)
- Connectivity to supported cryptocurrency exchanges via their official APIs
2.2 What LEXX Is NOT
To avoid any doubt, LEXX:
- Is NOT a cryptocurrency exchange. LEXX does not operate an order book, does not match buy/sell orders, and does not facilitate peer-to-peer transactions.
- Is NOT a broker or dealer. LEXX does not act as an intermediary in any trade. All trades are executed directly by you on your chosen exchange.
- Is NOT a custodian. LEXX never holds, stores, transmits, or controls any crypto-assets, fiat currency, or any funds on your behalf.
- Is NOT an investment firm or financial advisor. LEXX does not provide personalised investment advice, portfolio management, or financial recommendations.
- Is NOT a Crypto-Asset Service Provider (CASP) within the meaning of Regulation (EU) 2023/1114 (MiCA). LEXX provides software tools only.
- Is NOT a wallet provider. LEXX does not generate, store, or manage private keys or wallet addresses.
2.3 Your Relationship with Exchanges
When you use LEXX to place trades:
- You trade on your own exchange account (e.g., Binance, OKX)
- You are subject to the terms, conditions, and fee schedules of that exchange
- The exchange — not LEXX — executes, settles, and records your trades
- Your contractual relationship for trading is between you and the exchange directly
LEXX's role is limited to technically relaying your pre-configured instructions to the exchange API, based on your configuration.
3. Non-Custodial Architecture
3.1 API-Only Access
LEXX connects to supported exchanges exclusively through their official API protocols. This means:
- Read access: LEXX can read your account balances, open positions, and order history for display in the LEXX interface
- Trade access: LEXX can place, modify, and cancel orders according to your pre-configured strategies and parameters
- No withdrawal access: LEXX never requires or requests API permissions that would allow the withdrawal, transfer, or movement of funds from your exchange account
3.2 Your Funds Stay on the Exchange
At all times:
- Your crypto-assets and fiat balances remain in your exchange account
- LEXX has no ability to transfer, withdraw, or redirect your funds
- LEXX does not operate any wallets, vaults, or deposit addresses
- You retain full control over your exchange account, including the ability to revoke API access at any time through your exchange's settings
3.3 API Key Security
- You are responsible for creating and managing your exchange API keys
- You should restrict API key permissions to the minimum necessary (read + trade only; never enable withdrawal)
- LEXX stores your API keys in encrypted form and uses them solely to provide the Service

4. Crypto-Asset Risk Warnings
IMPORTANT: Trading crypto-assets involves significant risk. You should carefully consider whether trading is appropriate for your financial situation. You can lose all or a substantial portion of your investment.
4.1 Market Risk
- The value of crypto-assets is highly volatile and can fluctuate significantly in very short periods
- Crypto-asset markets operate 24/7 and price changes can occur at any time, including while you are not monitoring your positions
- Crypto-asset prices can be affected by regulatory changes, technological vulnerabilities, market manipulation, and other factors beyond your control
- There is no guarantee that any crypto-asset will retain any value
4.2 Leverage and Margin Risk
If you use leverage or margin trading features on your exchange:
- Losses can exceed your initial investment
- Liquidation of your positions may occur automatically without prior notice
- These features are provided by your exchange, not by LEXX, and are subject to the exchange's terms
4.3 Technology Risk
- Software, including LEXX, may contain bugs, errors, or experience downtime
- API connections to exchanges may be interrupted, delayed, or fail
- Network congestion, exchange outages, or internet connectivity issues may prevent order execution

4.4 Regulatory Risk
- The regulatory landscape for crypto-assets is evolving rapidly across all jurisdictions
- Changes in law or regulation may adversely affect the value or legality of certain crypto-assets
- Your obligations regarding tax reporting and compliance are your own responsibility
4.5 Exchange Counterparty Risk
- The security and solvency of the exchanges you use is outside LEXX's control
- Exchange hacks, insolvencies, or operational failures may result in loss of your assets
- LEXX is not responsible for any losses arising from the acts or omissions of any exchange
4.6 Past Performance
Past performance is not indicative of future results. Any historical data, backtesting results, performance statistics, or testimonials displayed on the LEXX platform or website:
- Do not constitute a guarantee, promise, or prediction of future performance
- May not reflect actual trading conditions, including fees, slippage, and liquidity
- Are presented for informational purposes only
5. RADAR AI System Disclosure
LEXX provides this disclosure as part of its commitment to responsible AI governance under Regulation (EU) 2024/1689 (EU AI Act).
5.1 What RADAR Does
RADAR is LEXX's AI-powered market intelligence system. It:
- Uses algorithms and artificial intelligence techniques for pattern detection in market data
- Monitors and analyses news, announcements, and publicly available information for non-trading risks (e.g., exchange hacks, protocol vulnerabilities, fraud reports, security incidents)
- Works within LEXX's algorithmic framework, processing market data and public information sources
- Generates alerts, risk scores, and informational indicators displayed within the LEXX interface
5.2 What RADAR Does NOT Do
- RADAR does not interact with clients directly (no chat, no personalised messages, no real-time communication)
- RADAR does not process client personal data — it analyses market data and public information only
- RADAR does not make trading decisions on your behalf — it provides informational signals that you may choose to act upon or ignore
- RADAR does not provide investment advice, recommendations, or personalised financial guidance
5.3 EU AI Act Classification
RADAR is classified as a Limited Risk AI system under Regulation (EU) 2024/1689 (EU AI Act). LEXX acts as the deployer within the meaning of Article 3(4). In accordance with the Act's transparency obligations, LEXX informs users that RADAR outputs are generated using artificial intelligence.
RADAR is not classified as:
- High-risk (Annex III) — it does not operate in any high-risk use-case domain
- Prohibited (Article 5) — it does not involve subliminal techniques, social scoring, or biometric identification
- General-purpose AI (Article 51) — RADAR is a task-specific application and does not incorporate general-purpose AI models
5.4 Limitations
- RADAR's analysis is based on algorithms and probabilistic models. It can produce false positives (flagging safe situations as risky) and false negatives (failing to detect genuine risks)
- RADAR's outputs are informational only and must not be treated as trading signals, financial advice, or guarantees
- The accuracy of RADAR depends on the quality and timeliness of its data sources, which may be incomplete or delayed
- You should always conduct your own research and exercise independent judgement
6. Squeeze Hunter Disclosure
6.1 What Squeeze Hunter Is
Squeeze Hunter is a free, standalone backtesting and strategy parameter selection tool provided by LEXX. It allows users to:
- Test trading strategies against historical market data
- Select and optimise strategy parameters (entry/exit conditions, indicators, timeframes)
- Analyse historical performance metrics of different parameter combinations
Squeeze Hunter operates independently from the core LEXX trading platform and may be used without an active paid subscription.
6.2 Backtesting Limitations
Backtesting results are not indicative of future performance. Specifically:
- Historical market data used by Squeeze Hunter is obtained from third-party sources and may be incomplete, delayed, or contain errors
- Backtesting results do not account for real-world factors including: slippage, liquidity constraints, exchange fees, order execution delays, and market impact
- A strategy that performed well in backtesting may produce materially different results in live trading
- Market conditions change over time; patterns observed in historical data may not recur
6.3 Not Financial Advice
Squeeze Hunter is a tool, not an advisor. Outputs, parameter suggestions, and performance metrics generated by Squeeze Hunter do not constitute investment advice, financial recommendations, or solicitations to trade. You should not rely solely on backtesting results when making trading decisions.
6.4 Free Service — No Availability Guarantee
As a free service, Squeeze Hunter is provided on an "as available" basis without uptime guarantees or service credits. LEXX may modify, suspend, or discontinue Squeeze Hunter at any time without prior notice.
7. MS Navigator Disclosure
7.1 What MS Navigator Is
MS Navigator is a free, standalone automated Smart Money Concepts (SMC) analysis service provided by LEXX via Telegram. It uses algorithms to:
- Scan market structure for Break of Structure (BOS) and Change of Character (CHOCH) events
- Detect Order Blocks, liquidity sweeps, and institutional accumulation/distribution zones
- Deliver annotated chart screenshots with structural analysis to a Telegram group 24/7
MS Navigator operates independently from the core LEXX trading platform and may be used without an active paid subscription.
7.2 Algorithmic Analysis Limitations
Automated analysis is not indicative of future price movements. Specifically:
- Market data used by MS Navigator is obtained from third-party sources and may be incomplete, delayed, or contain errors
- Algorithmic pattern detection is inherently probabilistic — detected patterns may not lead to anticipated market outcomes
- Smart Money Concepts are an analytical framework, not a predictive system with guaranteed accuracy
- Market conditions change continuously; structural patterns observed may not recur
7.3 Not Financial Advice
MS Navigator is a tool, not an advisor. Alerts, annotated charts, and structural analysis generated by MS Navigator do not constitute investment advice, financial recommendations, or solicitations to trade. You should not rely solely on automated analysis when making trading decisions.
7.4 Free Service — No Availability Guarantee
As a free service, MS Navigator is provided on an "as available" basis without uptime guarantees or service credits. LEXX may modify, suspend, or discontinue MS Navigator at any time without prior notice.
7.5 Telegram Delivery
MS Navigator operates via Telegram. LEXX is not responsible for delays, failures, or disruptions in Telegram's service. Users are subject to Telegram's own terms of service.
8. No Investment, Tax, or Legal Advice
8.1 General Disclaimer
LEXX does not provide:
- Investment advice — we do not recommend any specific crypto-asset, trading strategy, position size, or market timing
- Tax advice — we do not calculate, report, or advise on your tax obligations arising from trading activities
- Legal advice — we do not advise on the legality of specific trades, crypto-assets, or activities in your jurisdiction
- Financial planning — we do not assess your financial goals, risk tolerance, or investment suitability
8.2 Content Is Informational Only
All information, data, analytics, charts, indicators, and other content provided through the LEXX Service (the "Content") is for general informational purposes only. The Content:
- Does not constitute a recommendation or solicitation to buy, sell, hold, or otherwise transact in any crypto-asset
- Does not take into account your individual financial circumstances, objectives, or risk tolerance
- Is subject to change at any time without notice
- May contain errors, omissions, or delays
8.3 Your Responsibility
You are solely responsible for:
- Evaluating the merits and risks of any trading decision
- Determining the suitability of any strategy or transaction for your circumstances
- Complying with all applicable laws and regulations in your jurisdiction

8.4 Third-Party Information
Where the Service displays information from third-party sources (including exchange data, market feeds, and news sources):
- LEXX has not independently verified this information
- LEXX does not endorse or guarantee the accuracy, completeness, or timeliness of third-party data
- You rely on such information at your own risk
9. Testimonials & Past Performance
9.1 Fair Presentation
Any testimonials, case studies, or user stories presented on the LEXX platform or marketing materials:
- Represent the individual experience of that particular user
- Are not representative of all users and do not guarantee similar results
- May have been provided in exchange for compensation, free service access, or other consideration (where applicable, this is disclosed)
- Are presented in a fair, clear, and not misleading manner in accordance with Directive 2005/29/EC (Unfair Commercial Practices Directive)
9.2 Performance Data
Any performance data, statistics, or backtesting results:
- Are based on historical data and do not predict future performance
- May not account for all trading costs, fees, slippage, or market impact
- Are presented for informational purposes only and must not be relied upon as a guarantee of future returns
10. Restricted Jurisdictions
10.1 United States
LEXX services are not available to residents or citizens of the United States of America, including its territories and possessions. By using the Service, you represent and warrant that you are not:
- A resident or citizen of the United States
- Located in the United States at the time of access
- A "U.S. Person" as defined in Regulation S under the U.S. Securities Act of 1933
10.2 Sanctioned Jurisdictions
LEXX does not provide services to individuals or entities subject to sanctions imposed by the European Union (EU Council Regulations), the United Nations Security Council, or other applicable sanctions authorities. This includes persons located in, incorporated in, or nationals of any country or territory subject to comprehensive sanctions.

10.3 Your Responsibility
You are responsible for ensuring that your use of LEXX complies with all laws and regulations applicable to you. If you access the Service from a restricted jurisdiction, you do so at your own risk and are solely responsible for compliance with applicable local laws.
10.4 Right to Restrict
LEXX reserves the right to restrict, suspend, or terminate access from any jurisdiction at any time, with or without notice, based on regulatory requirements or risk assessment.
11. Limitation of Liability
11.1 Scope of Service
LEXX provides a software platform for interfacing with cryptocurrency exchanges. Our liability is limited to the provision of this software service. We are not liable for:
- The performance, availability, or security of any third-party exchange
- Losses arising from your trading decisions
- Market movements, crypto-asset price changes, or the value of any crypto-asset
- Actions taken or not taken by you based on LEXX's Content or RADAR outputs
11.2 Limitation
To the maximum extent permitted by applicable law, and subject to Section 11.3:
- LEXX's total aggregate liability to you for any claims arising out of or related to the Service is limited to the total subscription fees you have actually paid to LEXX in the 12 months immediately preceding the event giving rise to the liability
- LEXX is not liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or loss of business opportunity, except where such exclusion is prohibited by applicable EU consumer law
11.3 Consumer Protection Safeguard
Nothing in these Disclosures excludes or limits:
- Liability for death or personal injury caused by negligence
- Liability for fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under EU consumer protection law, including Directive 93/13/EEC on Unfair Contract Terms
- Your statutory rights as a Consumer under the laws of your country of habitual residence within the EU/EEA
- LEXX's obligations under Directive 2011/83/EU (Consumer Rights Directive)
Any clause in these Disclosures that would be deemed unfair under Directive 93/13/EEC, or any national law implementing it, shall be considered void and unenforceable to that extent, without affecting the validity of the remaining provisions.
11.4 Force Majeure
LEXX is not liable for any delay or failure to perform the Service caused by events beyond our reasonable control, including but not limited to: natural disasters, acts of government, exchange outages, internet infrastructure failures, cyberattacks, pandemics, or regulatory changes.
12. Intellectual Property
All content, software, algorithms, designs, trademarks, and other intellectual property displayed or used in connection with the LEXX Service are the property of Lexx Software Co. Ltd. or its licensors.
You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with the Terms of Use.
13. Data Protection
LEXX processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Maltese data protection law. For full details on how we collect, use, and protect your personal data, please refer to our Privacy Policy.

14. Regulatory Status
14.1 Malta Registration
Lexx Software Co. Ltd. is registered in Malta under company number C 100540, with LEI 984500EAD1O715C6C507.
LEXX is not licensed or regulated by the Malta Financial Services Authority (MFSA), nor is it required to be for the provision of SaaS trading interfaces.
14.2 MiCA Status
LEXX is a SaaS provider excluded from the scope of MiCA in accordance with Recital 22 of Regulation (EU) 2023/1114, which excludes providers of hardware and software. LEXX does not provide crypto-asset services as defined in Article 3(1)(16) of MiCA. LEXX does not require a CASP licence because it:
- Does not provide custody or administration of crypto-assets
- Does not operate a trading platform for crypto-assets
- Does not exchange crypto-assets for funds or other crypto-assets
- Does not execute orders for crypto-assets on behalf of clients
- Does not place crypto-assets
- Does not provide transfer services for crypto-assets
- Does not provide advice on crypto-assets
- Does not provide portfolio management of crypto-assets
- Does not provide reception and transmission of orders for crypto-assets within the meaning of Article 3(1)(16)(d) of MiCA — LEXX technically relays user-configured parameters without exercising discretion
14.3 AML/KYC
As of the date of these Disclosures, LEXX, as a SaaS subscription provider (not a financial service or CASP), does not fall within the scope of EU Anti-Money Laundering Directives for the purposes of its subscription sales. LEXX cooperates with law enforcement and regulatory authorities where required by applicable law.
15. Amendments
LEXX may update these Disclosures from time to time. We will notify you of material changes by:
- Email notification at least 14 days before changes take effect
- A prominent notice on our website
Continued use of the Service after the effective date of any changes constitutes your acceptance of the amended Disclosures. Where you are a Consumer within the meaning of Directive 2011/83/EU, your express consent will be obtained for any material changes. If you disagree with any changes, you may cancel your subscription in accordance with our Refund & Cancellation Policy.
16. Governing Law & Jurisdiction
These Disclosures are governed by the laws of Malta.
If you are a Consumer habitually resident in the EU/EEA, you also benefit from any mandatory provisions of the consumer protection law of your country of habitual residence, where such provisions offer greater protection than Maltese law (Article 6(2), Regulation (EC) No 593/2008 — Rome I Regulation).
Consumer Dispute Resolution
If you have a complaint, please contact us at legal@lexxsoft.com. If we cannot resolve the matter, you may contact the consumer protection authority in your Member State of habitual residence.
