1. Introduction

This Refund & Cancellation Policy ("Policy") applies to all subscription purchases made through the LEXX platform operated by Lexx Software Co. Ltd., a company registered in Malta under registration number C 100540, with its registered office at Office 2, Room 2, Blue Angel, Triq Belvedere, Gzira, GZR 1112, Malta.

This Policy should be read together with the LEXX Terms of Use and the Privacy Policy. Where a conflict arises between this Policy and the Terms of Use, the Terms of Use prevail. Nothing in either document limits your mandatory rights under applicable EU consumer protection legislation.

LEXX is a Software-as-a-Service (SaaS) platform that provides a trading interface to supported cryptocurrency exchanges (Binance, OKX). LEXX is not a cryptocurrency exchange, broker, or custodian. Your subscription payment covers access to the LEXX software service only.

2. Definitions

3. EU Right of Withdrawal (14 Days)

3.1 Your Right

Under Directive 2011/83/EU on Consumer Rights ("CRD"), Articles 9–16, if you are a Consumer within the EU/EEA, you have the right to withdraw from this contract within 14 calendar days without giving any reason.

The withdrawal period expires 14 days after the day on which the contract is concluded (i.e., the date you complete your subscription purchase).

3.2 How to Exercise Your Right

To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement. You can do this by:

Your withdrawal is timely if you send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

3.3 Effects of Withdrawal

If you withdraw from this contract, we will reimburse all payments received from you, including any delivery costs (if applicable), without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw from this contract.

We will make the reimbursement using the same means of payment you used for the initial transaction, unless you have expressly agreed otherwise. In any event, you will not incur any fees as a result of the reimbursement.

3.4 Service Used During Withdrawal Period

If you requested that the service begin during the withdrawal period, you shall pay us an amount proportional to what has been provided until you communicated your withdrawal, in comparison with the full coverage of the contract. This pro-rata deduction is calculated in accordance with Article 14(3) of Directive 2011/83/EU (see Section 8 for calculation details).

5.1 Waiver Mechanism

LEXX is a digital service as defined in Directive (EU) 2019/770. In accordance with Article 16(m) of Directive 2011/83/EU, the right of withdrawal does not apply to contracts for digital content or digital services where:

The consumer has given prior express consent to begin the performance of the contract during the withdrawal period; and
The consumer has acknowledged that they will thereby lose their right of withdrawal.

5.2 How We Implement This

During the subscription checkout process, LEXX provides a clear and separate consent mechanism:

A checkbox (unchecked by default) stating: "I request that the LEXX service begins immediately and I acknowledge that I will lose my right of withdrawal once the service has been fully provided."
This consent is recorded with a timestamp in your account records.

5.3 Partial Performance

If you consented to immediate access but withdraw before the digital service has been fully provided (i.e., during your billing period), you remain entitled to a pro-rata refund for the unused portion (Article 14(4)(b)(i), Directive 2011/83/EU). See Section 8 for the calculation method.

If you did not provide express consent for immediate access, your full 14-day withdrawal right remains intact regardless of whether you begin using the service.

6. Subscription Cancellation

6.1 Your Right to Cancel

You may cancel your LEXX subscription at any time, subject to the notice periods in the Terms of Use for renewal cancellation, through:

6.2 When Cancellation Takes Effect

Monthly subscriptions: Cancellation takes effect at the end of the current monthly billing period. You retain access to the service until that date.
Quarterly and annual subscriptions: Cancellation takes effect at the end of the current billing period. You retain access to the service until that date. No partial refunds are available for the remaining unused period after the 14-day withdrawal period has expired.

6.3 Maximum Notice Period — EU Data Act Compliance

In compliance with the EU Data Act (Regulation (EU) 2023/2854), LEXX will never require more than 2 months' advance notice for subscription cancellation. You may cancel at any time, and we will process your cancellation without imposing exit fees, switching charges, or similar penalties beyond the subscription fees already due under your current billing period.

6.4 Data Portability on Cancellation

Upon cancellation, you may request export of your personal data in a structured, commonly used, machine-readable format, to the extent required under Article 20 GDPR. Submit your request to support@lexxsoft.com.

6.5 Service Termination by LEXX

If LEXX terminates your subscription for reasons other than a material breach of the Terms of Use, you are entitled to a pro-rata refund for the remaining whole days in the current billing period, calculated using the formula in Section 8. Refunds will be processed promptly.

7. Refund Procedures

7.1 General Refund Rules

LEXX processes all qualifying refunds in accordance with EU consumer protection law. Refunds will be made:

Using the same payment method used for the original transaction, where technically possible
Within 14 calendar days of receiving a valid refund request or withdrawal notice

For refunds exercised under the 14-day right of withdrawal (Sections 3–5), you will receive a full refund of all payments made, including the original delivery charges, subject to the pro-rata deduction described in Sections 3.4 and 8 where you requested early access. This is mandatory under Article 13 of Directive 2011/83/EU (Consumer Rights Directive).

No refunds are available for subscription cancellations made after the 14-day withdrawal period. You will retain full access to the service until the end of your current billing period.

7.2 Alternative Payment Methods

Where it is technically impossible to return funds to the original payment method (e.g., expired card, closed payment account), we will arrange the refund via an alternative payment method in agreement with you. We will contact you to arrange a suitable alternative.

7.3 Third-Party Payment Processor Fees

LEXX is not responsible for fees charged by third-party payment processors, banks, or currency conversion charges applied by your financial institution. Any such fees are outside LEXX's control.

7.4 Third-Party Payments

If a payment was made by a third party (not the account holder):

LEXX may request the account holder to confirm the payment
If confirmation is not provided within a reasonable time (14 calendar days), LEXX will return the funds to the original payment source
This measure exists to prevent fraud and is not intended to delay legitimate refund requests

8. Pro-Rata Refund Calculation

8.1 Formula

In accordance with Article 14(3) of Directive 2011/83/EU, where a pro-rata refund applies, the refund amount is calculated as follows:

Refund = Total Price Paid - (Total Price Paid x (Days Used / Total Days in Billing Period))

Pro-rata deduction: €29.00 x (5 / 30) = €4.83
Refund amount: €29.00 - €4.83 = €24.17

8.2 Calculation for Annual Plans

For annual plans, the pro-rata deduction is calculated on a daily basis:

Refund = Annual Price - (Annual Price x (Days Used / Total Days in Subscription Period))

The "Total Days in Subscription Period" is the total number of calendar days covered by the annual subscription.

8.3 Rounding

All pro-rata calculations are performed on a daily basis. Partial days of use are counted as full days for the purpose of deduction.

9. Non-Refundable Items

The following are not eligible for refund:

Subscription fees for periods where you have fully used the service and validly waived your withdrawal right under Section 5
Fees or charges imposed by third-party payment processors, banks, or currency exchange services
Any promotional credits, bonus periods, or free trial conversions (these have zero monetary value)

Important: Nothing in this section limits your statutory rights under EU consumer protection law. If any provision of this section conflicts with mandatory EU or Maltese consumer protection legislation, the legislation prevails.

10. Amendments

LEXX may update this Policy from time to time. We will notify you of material changes by:

Email to your registered account address at least 30 days before the changes take effect
A notice on our website

If a material amendment adversely affects your existing rights, you may cancel your subscription before the changes take effect. Access continues until the end of the current billing period.

Any amendment will not reduce your rights retroactively or reduce your statutory rights under EU consumer law.

11.3 Governing Law

This Policy is governed by the laws of Malta. However, if you are a Consumer habitually resident in the EU/EEA, you also benefit from any mandatory provisions of the consumer protection law of your country of habitual residence, where such provisions offer you greater protection than Maltese law (Article 6(2), Regulation (EC) No 593/2008 — Rome I).
